Proposed Amendments to the Articles of Incorporation and Bylaws 

Articles of Incorporation

1.1   Updated Silverspring Community Association’s acronym to SCA.

2.1 Change SCA Registered Office to: Mailing address is to coincide with the current mailing address of the sitting President. The Association may, at their discretion by resolution of the Board, change the location of the registered office of the Association.

Bylaw One – Boundaries

1.1   Update “north boundary” to be Fedoruk Road and “east boundary” to  the  Forestry Farm and the pathway behind Carr Crescent.

Bylaw Three – Board of Directors

3.1 Updated titles of Director positions.

Bylaw Five – Election of Board of Directors

5.3 Updated titles of Director positions.

Bylaw Six – Meetings

6.7 Changed quorum for the Board of Directors to: The lesser of forty per cent of elected Board of Directors, or not less than five (5) elected Board Directors, shall constitute a quorum of a meeting of the Board of Directors of the Association.

6.11        Added: Business meetings of the Board of Directors shall be conducted at least 6 times per year.

6.12       Added: The Meeting Principles shall be read at the beginning of each meeting of the association.

6.13        Added: Only elected Directors of the Association (i.e., excluding ex officio members of the Board) are entitled to vote at meetings of the Board of Directors.

Bylaw Seven – Financial Affairs

7.1 Added: “provincially regulated credit union” as an acceptable financial institution.
